Outsourcing
We have an excellent record in outsourcing projects.
Outsourcing has become a huge growth area of our practice and we have been involved in many complex and high value transactions. Our experience spans acting for very significant players in the property, financial services, defence and public sectors.
MOD - Faslane
We acted for the Ministry of Defence on the leading edge outsourcing of engineering support and facilities management for Her Majesty's Naval Base Clyde (Faslane). This project was the first of its kind in that the private sector partner is involved in the provision of services which are highly significant for maintaining naval operational capability.
We drafted the Partnering Agreement for the MOD ensuring that its interests were protected through robust performance measurement indicators. We also dealt with TUPE aspects - a critical part of the transaction, given the large number of personnel transferring from the public to the private sector.
MOD - Privatisation of Rosyth Royal Dockyard
We also advised the Ministry of Defence on the privatisation of Rosyth Royal Dockyard. This work involved the sale of a significant and strategically important public sector asset to the private sector. We were involved in the drafting of all the required legal documentation and its negotiation. The key to our work in both of these transactions was our dedicated Project Team which drew on commercial contract, property, planning and environmental, competition, state aids and employment expertise.
Project WARREN
We acted in Project WARREN, the UK's largest real estate outsourcing project and one of the largest property deals ever in the UK. This 2.38 billion transaction is a private sector solution designed to take British Telecommunications PLC out of the property business, allowing them to reduce their well publicised debt mountain and concentrate management and other resources on their core business.
Under the terms of the 30 year agreement our clients Telereal (a joint venture between Land Securities Trillium and William Pears Group) provide accommodation and estate management services to BT in connection with the property demands of their fixed line network. Again the concepts of meeting occupational demands, service delivery, flexibility and sharing of gains are all key to the relationship.
Brodies represented the service provider, Telereal Group, in all Scottish aspects of the deal, again working alongside Freshfields Bruckhaus Deringer as lead advisors.
Innovative financing techniques, through securitisation of future income streams, contributed to the need for careful structuring in all 3 UK jurisdictions, in order to satisfy investor and rating agency requirements.
Project PRIME
We were involved in Project PRIME the first trail blazing, large-scale UK property outsourcing transaction. This was a Government private finance initiative in 1996 for dealing with the property estate of the Department of Social Security.
Brodies represented the service provider, the Trillium Group (then called Partnership Property Management, or PPM, and now part of Land Securities), in all Scottish aspects of the deal, working alongside Freshfields Bruckhaus Deringer.
Project TIES
We have also been instructed by Land Securities Trillium in connection with the proposed variation of this outsourcing contract so as to incorporate within Project PRIME an additional portfolio of properties belonging to HMG.
